These Terms of Service ("Terms") apply when you create a Zomex account, place an order or use a Zomex product or service. They form an agreement between you and Zomex. Any product page, order form, quotation, invoice, licence terms, support policy or other terms expressly supplied with a service also form part of the agreement.
Please read these Terms before ordering. By placing an order or using a product or service, you confirm that you have authority to enter into the agreement and agree to comply with these Terms. Nothing in these Terms limits rights that cannot lawfully be excluded.
Orders And Accounts
You must provide complete, accurate and current account and billing information. You are responsible for keeping your login credentials secure and for activity carried out through your account, except where caused by Zomex.
An order is subject to acceptance, payment, fraud checks, availability and any stated eligibility requirements. We may reject or cancel an order where information is inaccurate, payment cannot be verified, the order appears fraudulent, the requested service is unavailable or providing it would breach law or supplier rules.
You must be at least 18 years old or otherwise legally capable of entering into the agreement. Where you order for a business or organisation, you confirm that you are authorised to bind it.
Prices, Currency And Tax
Prices are those displayed on the website, quotation, invoice or order form when you order. Zomex is based in the United Kingdom, although many prices are displayed and charged in US dollars. The applicable currency will be shown before payment.
Prices may exclude taxes, registry charges, transaction fees or optional services where stated. You are responsible for any tax or charge that legally applies to your purchase. We may correct an obvious pricing or description error before accepting or fulfilling an order.
Payment And Renewal
Payment is due by the date shown on the order or invoice. Services with a recurring billing period will renew automatically using the selected payment method unless cancelled before renewal or unless the order states otherwise.
Renewal prices may change. Where reasonably practical, we will display or communicate the current renewal price before payment. You are responsible for maintaining a valid payment method and reviewing renewal notices sent to the email address registered on your account.
If payment is overdue, declined, reversed or disputed, we may restrict, suspend or terminate the affected service after any notice or grace period required by law or stated for that service. You remain responsible for valid charges incurred before cancellation or termination.
Digital Products And Licences
Unless stated otherwise, themes, templates, frameworks, modules, code, graphics, documentation and other downloadable products are licensed rather than sold. Your purchase grants a limited, non-exclusive, non-transferable right to use the product in accordance with the licence and product description.
You must not resell, redistribute, sublicense, share, publish or make the product or its source files available to another person except where the licence expressly permits it. You must not remove ownership notices or use a product to create a directly competing product for resale.
You may modify a product for your permitted website or project, but you are responsible for your modifications. Product updates may overwrite customised files, so you must maintain a record and backup of your changes.
Compatibility And Requirements
Product requirements and supported software versions are described on the relevant product page or documentation. You are responsible for confirming that your hosting environment, WordPress, WHMCS, PHP, browser and other dependencies meet those requirements before ordering or updating.
Third-party platforms and software change independently of Zomex. We do not guarantee indefinite compatibility with every future or legacy version. Where updates are available, continued compatibility may require an active updates or support service.
Updates And Support
Access to updates and support is determined by the product or subscription purchased. An expired updates or support service may end access to new downloads, compatibility releases or technical assistance while leaving any continuing licence rights stated for the original product unaffected.
Support covers reasonable assistance with the supported product and documented features. Unless expressly included, support does not cover custom development, third-party software, server administration, extensive troubleshooting of modified files, data entry or work unrelated to the Zomex product.
Custom Services And Web Design
The scope, price, payment schedule, estimated delivery and included revisions for custom work are defined in the applicable quotation or written agreement. Work outside the agreed scope may require a separate quotation.
You must provide requested content, access, decisions and feedback within a reasonable time. Delays in providing these items may delay delivery. Unless agreed otherwise, timelines are estimates and depend on prompt cooperation and the availability of third-party services.
Deposits and payments for completed work, reserved development time or bespoke work already performed are non-refundable except where required by law or agreed in writing. Ownership of final custom deliverables transfers only to the extent stated in the quotation and after all related invoices have been paid.
Hosting Services
Hosting services are subject to the plan limits, technical specifications and our Acceptable Use Policy. You are responsible for your website, content, software, users and activity carried out through the hosting account.
We may migrate, update or change servers, networks, IP addresses, software, suppliers or infrastructure where reasonably necessary to maintain, secure or improve the service. Temporary interruption may occur during maintenance, emergency work or migration.
Domains
Domain registration, renewal and transfer services are also subject to the rules and policies of the relevant registry and registrar. Registration is not guaranteed until confirmed, and a requested domain may become unavailable before completion.
You are responsible for checking the spelling, extension and registration details before ordering and for maintaining accurate registrant information. Domain fees, registry fees, redemption fees and successful registrations or renewals are generally non-refundable because they are committed to third-party suppliers, except where required by law or where the registration fails without fault on your part.
You must request cancellation or transfer in sufficient time before expiry. Zomex is not responsible for loss of a domain caused by inaccurate contact information, failed payment, an expired authorisation code, registry restrictions or a late request outside our reasonable control.
Delivery And Access
Digital products are normally made available through your account or by email after successful payment and order checks. Hosting, domain and custom services may require additional setup or information. Any delivery date stated is an estimate unless expressly agreed as a binding deadline.
Cancellation And Refunds
You may cancel a recurring service through the available account cancellation process or by contacting Zomex. Cancellation prevents future renewal but does not normally reverse charges already due or paid for the current term.
Any money-back guarantee or voluntary refund policy applies only where expressly advertised for the relevant product or service and is subject to its stated conditions. Domain fees, third-party costs, completed custom work and other non-recoverable costs may be excluded.
If you are a consumer, you may have statutory cancellation and refund rights. Where you ask us to begin a service during a cancellation period, you may be responsible for the value supplied before cancellation. Where you request immediate access to digital content, you may be asked to acknowledge that your cancellation right will be lost once supply begins, to the extent permitted by law.
Nothing in these Terms affects statutory remedies for digital content or services that are faulty, not as described or not supplied with reasonable care and skill.
Chargebacks And Payment Disputes
Please contact us before starting a chargeback so we have an opportunity to investigate and resolve the issue. A chargeback or payment reversal may result in suspension of related services while the dispute is reviewed. Fraudulent or abusive payment disputes may lead to account termination and recovery of reasonable costs.
Customer Responsibilities
You are responsible for:
- using products and services lawfully and in accordance with documentation
- obtaining licences and permissions for your content, software and data
- keeping account, billing and domain contact information current
- protecting passwords, licence keys, API credentials and account access
- maintaining secure and supported software
- keeping independent, current and tested backups
- reviewing work, settings and data before using them in a live environment
Backups And Data
Unless a service expressly guarantees otherwise, any backup provided by Zomex is a supplementary convenience and is not guaranteed to be complete, current or restorable. You must maintain your own independent backups of websites, databases, email, configuration and project files.
Restore work may be subject to availability and an additional fee communicated before work begins. We are not responsible for data loss that could reasonably have been avoided through appropriate customer backups, subject to liability that cannot lawfully be excluded.
Availability And Maintenance
We aim to provide reliable services but do not guarantee uninterrupted or error-free availability unless a specific service level agreement expressly applies. Availability can be affected by maintenance, security incidents, supplier failures, internet conditions and events outside our reasonable control.
We may carry out planned or emergency maintenance and will provide notice where reasonably practical.
Third-Party Services
Some Zomex products and services integrate with or depend on third-party software, platforms, registries, payment providers, hosting suppliers or APIs. Their separate terms, licences, availability and changes may affect the service. Zomex is not responsible for a third party's independent acts or omissions, although this does not affect any responsibility Zomex has under applicable law.
Intellectual Property
Zomex and its licensors retain all intellectual property rights in Zomex products, branding, website content, documentation, tools and pre-existing materials. No right is granted except the limited rights expressly stated in the applicable licence or written agreement.
You retain ownership of content and materials you supply. You grant Zomex permission to use, copy, adapt and process those materials only as reasonably necessary to provide the requested product or service.
Confidentiality And Privacy
Each party must take reasonable care with confidential information received from the other and use it only for the relevant business relationship, except where disclosure is authorised or legally required.

Suspension And Termination
We may restrict, suspend or terminate a product or service where payment is overdue, information is fraudulent or inaccurate, security is at risk, supplier rules require action or you materially breach these Terms or the Acceptable Use Policy.
Where appropriate, we will provide notice and an opportunity to resolve the issue. We may act immediately where necessary to prevent harm, address unlawful activity, protect data or systems, comply with a legal request or respond to a serious or repeated breach.
On termination, your right to use affected services ends. You should retrieve any available data before cancellation or expiry. We may delete data after termination in accordance with our normal retention and deletion processes.
Warranties
We will provide services with reasonable care and skill. Except for rights or warranties that cannot lawfully be excluded, products and services are supplied on an "as available" basis and we do not guarantee that every product will meet every individual requirement or operate with every third-party configuration.
Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of statutory rights that cannot be excluded, or any other liability that cannot lawfully be limited.
Subject to the paragraph above, Zomex is not liable for indirect or consequential loss, loss of profit, revenue, opportunity, goodwill or anticipated savings, or loss caused by third-party services, customer modifications, unsupported software, inaccurate instructions or failure to maintain appropriate backups.
For a business customer, Zomex's total aggregate liability arising from a product or service is limited to the amount paid for that affected product or service during the 12 months before the event giving rise to the claim. This business limitation does not apply to consumers where it would be unlawful or unfair.
Changes To Services And Terms
We may improve, replace or discontinue features where reasonably necessary. If a material change significantly reduces a paid service during its current term, we will take reasonable steps to provide notice and, where appropriate, a replacement, credit or right to cancel.
We may update these Terms to reflect changes to services, suppliers, security requirements or law. Updated Terms will be published on this page with a new revision date. Changes will not remove accrued statutory rights.
Force Majeure
Neither party is responsible for delay or failure caused by events beyond its reasonable control, including major network or power failures, natural disasters, war, civil disorder, industrial action, epidemics, government action or widespread third-party service disruption. This does not remove obligations that cannot lawfully be excluded.
General
If any provision is found invalid or unenforceable, the remaining provisions continue in effect. A delay in enforcing a right is not a waiver of that right. You may not transfer the agreement without our written consent, but we may transfer it as part of a business reorganisation, sale or transfer of the relevant service, provided your rights are not materially reduced.
These Terms, together with the order and incorporated policies, form the entire agreement relating to the relevant product or service and replace earlier discussions or representations not expressly included in the agreement.
Governing Law And Disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction, except that a consumer may also benefit from mandatory rights and may be entitled to bring proceedings in the courts of the part of the United Kingdom or country where they live.
